Dispute Resolution

Amicable Dispute Resolution

If any dispute arises between Users and Vendor Guide regarding the use of the Service or any aspect of these Terms, both parties agree to first attempt to resolve the dispute informally. Users should contact Vendor Guide at info@vendorguideonline.com to initiate this process.

Formal Resolution

If a dispute cannot be resolved informally within 30 days, either party may pursue formal resolution through the following means:

For Users in the United States:

  1. Binding Arbitration: Any dispute arising from these Terms or the use of Vendor Guide shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.
  2. Arbitration Process: The arbitration will be conducted by a single arbitrator selected in accordance with the AAA rules. The arbitration shall take place in Hennepin County, MN  unless otherwise agreed by both parties.
  3. Class Action Waiver: Users agree to resolve any disputes on an individual basis and waive any right to pursue a class action lawsuit or arbitration.
  4. Exceptions: Notwithstanding the above, either party may seek injunctive relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

For Users Outside the United States:

  1. Jurisdiction: Any legal action or proceeding related to this agreement shall be brought exclusively in the courts located in Hennepin County, MN USA
  2. Governing Law: These Terms and any dispute arising out of or in connection with these Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, USA, without regard to its conflict of law provisions.

Small Claims Court Option

Notwithstanding the above, either party may bring an individual action in small claims court for disputes or claims within the scope of that court's jurisdiction.

Time Limitation

Any claim arising out of or related to these Terms or the use of Vendor Guide must be filed within one year after such claim arose; otherwise, the claim is permanently barred.

Modifications to this Section

Vendor Guide reserves the right to modify this Dispute Resolution section at any time. If we make changes, we will provide notice of such changes, such as by sending an email notification, providing notice through the Service, or updating the "Last Updated" date at the beginning of this Dispute Resolution section. Your continued use of the Service following notification of changes will be deemed acceptance of those changes.
